ORYGN Terms of Use

1) Who we are

The Site is operated by ORYGN LLC (“ORYGN”, “we”, “us”, “our”).

2) Site purpose

The Site provides general information about ORYGN and a way to contact us. Information on the Site is provided for general informational purposes only and is not professional advice.

3) Acceptable use

You agree not to:

• Use the Site for unlawful purposes
• Attempt to gain unauthorized access to the Site, servers, or systems
• Interfere with or disrupt the Site, including by sending malware, excessive traffic, or automated abuse
• Attempt to bypass, disable, or interfere with security or anti-spam measures
• Submit false, misleading, or impersonating information via forms
• Use scraping, bots, or automated tools in a way that degrades performance or violates applicable law

We may restrict or block access to protect the Site, our systems, or other users.

4) Contact form and communications

When you submit the contact form:

• You represent that the information you provide is accurate and that you have the right to provide it.
• You understand submissions are delivered via third-party providers used for hosting, security, and email delivery.
• We may respond to you by email using the address you provide.

We do not guarantee response times. Any response time estimates shown on the Site are informational and not a binding commitment.

5) No warranties

THE SITE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, ORYGN DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Site will be uninterrupted, secure, or error-free.

Professional Services Disclaimer: These Terms govern your use of the Site only. Any professional services, software development, or consulting provided by ORYGN are governed exclusively by a separate written Master Services Agreement (MSA) or Statement of Work (SOW) signed by the parties.

6) Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ORYGN WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ORYGN’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SITE WILL NOT EXCEED $100 USD.

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

7) Third-party services and links

The Site may rely on third-party services (for example: hosting, security, analytics, email). These providers may have their own terms and privacy policies, and your use of their services may be governed by those terms.

If the Site links to third-party websites, those links are provided for convenience only. We do not control and are not responsible for third-party sites or content.

8) Intellectual property

All content on the Site, including text, graphics, logos, designs, and code (collectively, “Content”), is owned by ORYGN or licensed to ORYGN and is protected by applicable intellectual property laws.

You may view and use the Site for personal or internal business purposes. You may not copy, reproduce, modify, distribute, sell, or create derivative works from the Content without our prior written permission, except where permitted by law.

9) Feedback

If you provide suggestions or feedback, you grant ORYGN the right to use it without restriction or compensation, unless prohibited by law.

10) Changes to the Site and Terms

We may update the Site or these Terms at any time. The effective date above will reflect the latest version. Your continued use of the Site after changes means you accept the updated Terms.

11) Termination

We may suspend or terminate your access to the Site at any time if we believe you have violated these Terms or if we need to protect the Site, users, or ORYGN.

12) Governing law and venue

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles.

Any dispute arising out of or related to the Site or these Terms must be brought in the state or federal courts located in Harris County, Texas, and you consent to the jurisdiction and venue of those courts.

13) Severability

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect.

14) Indemnification

You agree to defend, indemnify, and hold harmless ORYGN, its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Site, including your User Contributions, any use of the Site's content, services, and products other than as expressly authorized in these Terms, or your use of any information obtained from the Site.

15) Binding Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR RIGHTS.

Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by binding arbitration in Houston, Texas before one arbitrator. The arbitration shall be administered by JAMS pursuant to its Comprehensive Arbitration Rules and Procedures.

Judgment on the award may be entered in any court having jurisdiction. This clause shall not preclude parties from seeking provisional remedies in aid of arbitration from a court of appropriate jurisdiction.

16) Class Action Waiver

YOU AGREE THAT ANY ARBITRATION OR PROCEEDING SHALL BE LIMITED TO THE DISPUTE BETWEEN US AND YOU INDIVIDUALLY. TO THE FULL EXTENT PERMITTED BY LAW, (I) NO ARBITRATION OR PROCEEDING SHALL BE JOINED WITH ANY OTHER; (II) THERE IS NO RIGHT OR AUTHORITY FOR ANY DISPUTE TO BE ARBITRATED OR RESOLVED ON A CLASS ACTION-BASIS OR TO UTILIZE CLASS ACTION PROCEDURES; AND (III) THERE IS NO RIGHT OR AUTHORITY FOR ANY DISPUTE TO BE BROUGHT IN A PURPORTED REPRESENTATIVE CAPACITY ON BEHALF OF THE GENERAL PUBLIC OR ANY OTHER PERSONS.

17) Force Majeure

ORYGN shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including, but not limited to, acts of God, war, terrorism, riots, embargos, acts of civil or military authorities, fire, floods, accidents, strikes or shortages of transportation facilities, fuel, energy, labor, or materials.

18) Account Security

If any portion of the Site requires you to create an account or set a password, you are responsible for maintaining the confidentiality of your account information and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

19) Entire Agreement

These Terms and our Privacy Policy constitute the sole and entire agreement between you and ORYGN regarding the Site and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Site.
